    Big Companies Face Sanctions as NRS Issues Final Ultimatum on E-Invoicing Compliance

    Nigeria Revenue Service (NRS) has given large companies operating in the country until July 31 to fully comply with the national electronic invoicing (e-invoicing) and Electronic Fiscal System (EFS) requirements.

    The agency disclosed this in a statement issued on Sunday by Mr Dare Adekanmbi, Special Adviser on Media to the Executive Chairman of the NRS, Mr Zacch Adedeji.

    According to the statement, the NRS has commenced compliance monitoring activities to determine the level of adherence to the e-invoicing mandate among large taxpayers.

    The service warned that companies that fail to meet the deadline risk regulatory sanctions in line with existing tax laws and regulations.

    “Consequently, any defaulting member may be subjected to appropriate regulatory and enforcement actions in accordance with the provisions of the relevant tax laws and regulations,” the statement said.

    The NRS urged affected companies to urgently complete all outstanding onboarding and integration processes and begin transmitting invoices before the compliance deadline.

    “Affected taxpayers are, therefore, advised to urgently conclude all outstanding onboarding and integration activities and commence invoice transmission before the compliance deadline,” it added.

    The agency explained that large taxpayers are companies with annual gross turnover of N5 billion and above, noting that more than 1,000 companies had complied with the directive as of the first quarter of the year.

    The NRS stated that compliance with the e-invoicing and EFS framework requires taxpayers to complete onboarding on the NRS Merchant Buyer Solution (MBS), integrate their systems through approved Access Point Providers (APPs) and Systems Integrators (SIs), complete validation and testing processes, and transmit invoices through the approved platform.

    It added that businesses must also ensure that they only receive compliant e-invoices from suppliers carrying valid Invoice Reference Numbers (RINs).

    The service said the national e-invoicing platform became operational for large taxpayers on Aug. 1, 2025, following consultations and engagements with stakeholders.

    It noted that implementation for large taxpayers was later extended to November 2025 to accommodate operational and transitional considerations.

    The NRS further disclosed that the phased rollout of the e-invoicing and Electronic Fiscal System was extended to medium and emerging taxpayers from Feb. 17.

    The agency reaffirmed its commitment to supporting taxpayers and ensuring a smooth implementation of the digital invoicing framework aimed at improving transparency, compliance and efficiency in Nigeria’s tax administration system.
